These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "your," or "user") and Pass65 ("we," "us," or "our") governing your access to and use of the pass65.ai website and our AI-powered Series 65 exam preparation services (collectively, the "Service").

By creating an account, accessing, or using our Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

You may delete your account at any time by contacting us. We may suspend or terminate your account if we reasonably believe you have violated these Terms, engaged in fraudulent activity, or for any other reason at our discretion, with or without notice.

4. Service Description

Pass65 provides an AI-powered educational platform designed to help users prepare for the NASAA Series 65 Uniform Investment Adviser Law Examination. Our Service includes:

• AI Tutoring: Conversational AI that explains concepts, answers questions, and provides personalized guidance
• Practice Questions: A database of practice questions aligned with the Series 65 exam blueprint
• Adaptive Learning: Technology that identifies knowledge gaps and adjusts content accordingly
• Progress Tracking: Dashboards and analytics to monitor your study progress
• Practice Exams: Full-length simulated exams mimicking the actual test environment

5. Subscription and Payment

5.1 Subscription Plans

Access to our full Service requires a paid subscription. Current pricing is $49 per month, billed monthly. Subscription fees are subject to change with 30 days' advance notice.

5.2 Free Trial

We offer a 7-day free trial for new users. During the trial, you have full access to all features. No credit card is required to start the trial. At the end of the trial, you must subscribe to continue using the Service.

5.3 Payment Terms

• Subscriptions are billed in advance on a monthly basis
• Payment is processed through secure third-party payment processors
• You authorize us to charge your payment method for all fees incurred
• Failed payments may result in suspension of your account

5.4 Cancellation

You may cancel your subscription at any time through your account settings or by contacting us. Cancellation takes effect at the end of your current billing period. You will retain access to the Service until your paid period expires. We do not provide prorated refunds for partial months.

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial educational purposes, subject to these Terms. This license does not include any right to:

• Reproduce, duplicate, copy, or exploit any portion of the Service
• Access or use the Service for the benefit of any third party

7.3 Your Content

You retain ownership of any content you submit through the Service (e.g., chat messages, feedback). By submitting content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display such content for the purpose of operating and improving the Service.

WE DO NOT WARRANT THAT:

• Results obtained from using the Service will be accurate or reliable
• The quality of the Service will meet your expectations
• You will pass the Series 65 exam by using our Service

You use the Service at your own risk. We are not responsible for any errors or omissions in the content, nor for any actions taken based on information provided through the Service.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL PASS65, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to or use of (or inability to access or use) the Service
• Any conduct or content of any third party on the Service
• Any content obtained from the Service
• Unauthorized access, use, or alteration of your transmissions or content

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to defend, indemnify, and hold harmless Pass65 and its officers, directors, employees, contractors, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms
• Your use of the Service
• Your violation of any third-party rights
• Any content you submit through the Service

11. Dispute Resolution

11.1 Governing Law

These Terms and your use of the Service shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

11.2 Informal Resolution

Before filing any formal dispute, you agree to attempt to resolve the dispute informally by contacting us at info@pass65.ai. We will attempt to resolve the dispute within 30 days.

11.3 Arbitration

Any dispute arising from these Terms or your use of the Service that cannot be resolved informally shall be finally resolved by binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted in English, and the arbitrator's decision shall be final and binding.

11.4 Class Action Waiver

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

12. Miscellaneous

12.1 Entire Agreement

These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and Pass65 regarding the Service and supersede all prior agreements.

12.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

12.3 Waiver

Our failure to enforce any right or provision of these Terms shall not be considered a waiver of such right or provision.

12.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.

12.5 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, or acts of government.
